Complex mergers and acquisitions can often trigger litigation over any number of issues including alleged failure to close transactions; breaches of representations and warranties; securities and common law fraud; and contractual purchase price adjustments. We regularly represent all the various participants in mergers, including targets and acquirers, individual corporate directors, investment banks and other advisors in both federal and state courts throughout the country in any disputes arising from their actions, as well in SEC or stock exchange investigations arising out of corporate acquisitions. We also defend clients against allegations concerning breaches of corporate fiduciary duty in a variety of contexts, including corporate governance issues, product liability issues, bankruptcies and restructurings and investment management. Debevoise also maintains a preeminent Products Liability practice and is frequently retained on behalf of potential investors to evaluate complex tort litigation facing a company in which they are considering an investment or acquisition.
