International law firm Debevoise & Plimpton LLP has today launched an updated version of its widely used guide to the legal, business and tax issues involved in sponsoring a private equity fund.
Affectionately known in the market as the private equity funds “cookbook”, the guide is authored by senior members of Debevoise’s Investment Management Group, and provides an in-depth tour through the key issues involved in fund formation.
First published over 15 years ago, the cookbook remains one of the most complete and practical resources in the market.
The newest edition includes important updates that reflect changes in the market as it has continued to mature. The regulatory and commercial environment for private equity has changed dramatically in recent years, with today’s market characterized by a greater number of funds, structures, investment strategies and investors than ever before.
Debevoise has been representing fund sponsors around the world for over 30 years. Today, the firm has one of the leading fund formation practices in the market. Since 1995, Debevoise has acted as counsel for sponsors of, or investors in, more than 1,700 funds worldwide, representing committed capital of over $1 trillion.
Erica Berthou, partner at Debevoise and one of the authors of the new edition, comments: “Private equity is a market that refuses to stand still. It’s traveled a great distance from the early years, and is now home to a huge amount of innovation, driven by ever greater demands from sponsors and investors alike. With that development comes greater scrutiny, an increasingly complex regulatory environment, and growing commercial pressures to find solutions to new situations.”
“It is in that environment that this new edition of our private funds cookbook shows its worth. The fundamentals of the market remain fairly constant, but to succeed in it, the legal, business and tax subtleties of fund formation need to be grasped. We’re proud to be able to use our vast experience to produce a guide that probes and explains those subtleties in a way that will benefit professionals approaching the finer details of fund formation.”
