A Decade with Electronic Data Rooms

In 2013, the deal community and the electronic data room (EDR) will observe the 10th (or so) anniversary of their partnership. (Also, 10 years ago partners at my law firm identified the need to designate an attorney in the corporate practice group who would specialize in due diligence and created my position as due diligence coordinator. As part of my duties, I keep a close eye on the EDR marketplace.) In connection with this milestone, it is timely to review how EDRs have evolved and how they have affected the due diligence process, forecast how they might develop, and assess their usefulness in getting deals done.
