In this paper, Ian C. Wildgoose Brown examines the Canadian system of regulation of corporate takeover defenses with reference to the American system. This comparison involves: first, an investigation and survey of the structure of Canadian securities law; second, an analysis of Canada’s jurisprudence surrounding takeover defenses and its underlying philosophy of regulation; and third, a proposal to modify the Canadian system based on a brief analysis of the American system.
