Brett Bush is a counsel and a member of both the firm’s Investment Management and Private Fund Transactions Groups.Mr. Bush’s practice involves structuring, negotiating and documenting complex business transactions in the private funds secondary market, including traditional portfolio sales, structured secondaries, synthetic secondaries, fundless sponsor transactions, stapled offerings, preferred equity, continuation funds, fund restructurings and other GP-led transactions. Mr. Bush routinely represents some of the most active institutional and fund-of-fund investors, leading insurance companies, sovereign wealth funds and family offices when making co-investments, direct investments, strategic investments, joint ventures, separate accounts, platform arrangements, real estate investments, infrastructure investments, PIPEs, SPACs and in other complex transactions. He also represents such investors in connection with their private equity investments, including U.S and international buyout, venture capital, open-ended funds and other sector funds, and anchor and seed investments. Mr. Bush has also represented asset managers, funds, sponsors and issuers of financial products on all aspects of their business, including internal economic arrangements, employee investments, alternative investment vehicle structures, lending arrangements, transactional, operational and corporate governance matters. He has advised on a broad range of regulatory issues under the federal securities laws, including the Investment Company Act of 1940 and the Investment Advisers Act of 1940 as well as various other regulations affecting investment managers, funds and financial product sponsors and investors. Mr. Bush’s recent experience includes acting for clients such as Aflac, Banner Ridge, HarbourVest, KKR, JP Morgan, Liberty Mutual, Pantheon, StepStone and The Ford Foundation, as well as other leading financial institutions, insurance companies, sovereign wealth funds and family offices. Prior to joining Debevoise, Mr. Bush served as co-head of the US investment management group of a large multinational law firm in New York. Mr. Bush received his J.D. from The University of Pennsylvania Law School and studied Business and Public Policy at the Wharton School. He received his B.A. from Columbia University. He is admitted to practice in New York.
