Gordon Moodie is a partner in the firm’s New York office, Co-Chair of the Technology Group and member of the Mergers & Acquisitions Group and the Private Equity Group, as well as the Public Company Advisory Group and Corporate Governance practice. Mr. Moodie focuses on representing public and private companies across a variety of industries and transactions, including domestic and cross-border mergers and acquisitions, divestitures, spin-offs, initial public offerings, securities law matters and corporate governance. His practice also includes serving the needs of financial institutions and entities that invest in those institutions.

Mr. Moodie is recommended for Private Equity Buyouts and Corporate Governance by The Legal 500 US (2025). Mr. Moodie has also been named to Lawdragon’s “500 Leading Lawyers in America” list (2026).

Mr. Moodie is a frequent speaker and author on a variety of M&A and corporate governance-related topics. He is a contributing author of Debevoise’s MarketCheck, a periodic report to help M&A market participants navigate today’s complex dealmaking landscape, a contributor to Debevoise’s Private Equity Report, and a frequent presenter on Debevoise’s monthly Public Company Webcast series. Mr. Moodie spoke at the Annual Stanford Directors' College event on the topic of Board Oversight and Governance of the AI Revolution and at the IBA’s Annual International Mergers & Acquisitions Conference on the topic of Developments in Public Company M&A and Securities Law.

Prior to joining Debevoise, Mr. Moodie was an M&A partner at Wachtell, Lipton, Rosen & Katz, where his client representations included Pfizer in its $48 billion Reverse Morris Trust transaction with Mylan, Michael Dell in the take private of Dell and Dell’s $67 billion acquisition of EMC, Kennedy-Wilson in its acquisition of Kennedy-Wilson Europe, Siris Capital in its acquisition of American Stock Transfer and Trust Company and simultaneous acquisition of Equiniti, and Apollo and other private equity sponsors in a range of significant transactions. He also advised public companies defending against hostile takeover efforts and in connection with shareholder activism, and was the chief product officer at Harvey AI through its early fundraising rounds.  

Mr. Moodie received his J.D. from Harvard Law School, magna cum laude, and his Bachelor of Commerce from Queen’s University in Canada, graduating first in his class.
