The international law firm Debevoise & Plimpton LLP presents an overview of the most significant developments in Russian laws and court practice in M&A for 2017.
The year 2017 saw, among other things, changes relating to major and interested party transactions of JSCs and LLCs; changes relating to access of shareholders to corporate records; new restrictions on the acquisition of Russian strategic companies and state or municipal property by offshore companies; increased control with respect to transactions of foreign investors involving strategic and other Russian business companies; and introduction of escrow agreement into law.
Court practice that is most significant for M&A deals, among other things, related to assignment of rights and break-up fee.
