Harvard Law School Forum on Corporate Governance and Financial Regulation: Appraisal Rights: Navigating the Maze After DFC Global, Dell, and Aruba

Jeffrey J. Rosen and William D. Regner recently authored the article “Appraisal Rights: Navigating the Maze After DFC Global, Dell, and Aruba” for the Harvard Law School Forum on Corporate Governance and Financial Regulation.

While current legislation surrounding appraisal rights in Delaware is hard to parse, the authors explain there are ways to “illuminate large sections of the path out of the maze” and “delineate the handful of key issues that remain to be resolved before our escape is complete.” Through analysis of three Delaware Supreme Court and Court of Chancery decisions, the authors offer valuable insight into the current state of the law on appraisal rights.
