Debevoise Advises RWL Water and RSL Investments Corp. on the Sale of RWL Water to Emefcy Group

Debevoise & Plimpton LLP is advising RWL Water LLC and its owner, RSL Investments Corp., in the sale of RWL Water to Emefcy Group Limited, a publicly traded company listed on the Australian Securities Exchange (EMC), in a stock for stock transaction. In addition to the receipt of Emefcy Group shares from the sale, RSL Investments, which is owned by Ronald S. Lauder, would invest $20 million in cash into Emefcy Group through a private placement, resulting in RSL Investments owning approximately 34% of Emefcy Group’s equity.

New York-based RWL Water was founded by Ronald S. Lauder in 2010 with a vision to become the leading global water, wastewater and reuse solutions provider in the middle market. Upon completion of the transaction, the combined company will be renamed Fluence Corporation Limited, creating a global provider of innovative, decentralized water and wastewater treatment solutions for both municipal and industrial applications.
