Experience
Jonathan Tuttle is a member of the firm’s Litigation Department.  He has represented public companies, boards of directors, audit and special committees of boards and individual directors, officers and employees in Securities and Exchange Commission enforcement inquiries, Department of Justice investigations, securities class actions, shareholder derivative suits, internal corporate investigations, and a variety of other securities and finance related litigation and regulatory matters.  Mr. Tuttle has significant experience investigating accounting issues and representing public companies in connection with restatements of their financial statements, including conducting independent investigations pursuant to Section 10A of the Securities Exchange Act of 1934 and advising companies, boards and audit committees with respect to issues raised by accounting restatements in areas such as disclosure and reporting obligations, SEC enforcement, class and shareholder derivative litigation and relationships with outside auditors.

Mr. Tuttle’s recent representations include:

Internal Investigations
  • An internal review for the Audit Committee of BG Group relating to issues arising in an investigation by Italian authorities into allegations of corruption in a project in Brindisi, Italy.
  • An internal review of a whistleblower allegation relating to tax reserves and other accounting issues at a major consumer products company.
  • An internal review under Section 10A for a large pharmaceutical company into a number of accounting issues raised in the press and related to the company’s restatement.
  • A review for a German corporation of accounting issues at a subsidiary that arose in a German GAAP to U.S. GAAP conversion following the sale of the subsidiary to a U.S. company.
  • An internal review for a special committee of a European-based telecommunications company into revenue recognition issues raised by its auditors under Section 10A.

Company Representations
  • A large European telecommunications company in connection with United States Department of Justice and SEC investigations relating to payments made by certain Eastern European subsidiaries.
  • The Royal Dutch/Shell Group of Companies in SEC and DOJ investigations, securities class actions and shareholder derivative actions arising out of Shell’s proved oil and gas reserves recategorization.
  • A national healthcare company in Southern District of New York investigation into allegations of insider trading by a prominent politician.
  • Dollar General Corporation in securities class actions, shareholder derivative actions and an SEC investigation related to Dollar General’s 2001 restatement.
  • MicroStrategy Inc. in an SEC investigation relating to the company’s restatement of accounting for sales of computer software.

Individual Representations
  • A former financial executive of AOL Time Warner in an SEC action arising out of the company’s restatement.
  • A senior financial executive of General Electric in an SEC investigation arising from the company’s restatements.
  • Successful defense of a former senior financial executive of BISYS, Inc. in an SEC investigation arising out of a restatement.
  • A former chief financial officer of an equipment leasing company in SEC and Department of Justice investigations into securities fraud.
  • Successful defense of a former senior AIG employee in an SEC investigation arising out of certain off-balance sheet transactions with a national bank.
  • Successful defense of a hedge fund managing director in an SEC insider trading investigation involving PIPEs transactions.

Mr. Tuttle was an associate with the Washington, D.C. office of McGuire, Woods, Battle & Boothe from 1992 to 1995, where he represented primarily broker-dealers, registered persons and other individuals in SEC, National Association of Securities Dealers and New York Stock Exchange enforcement inquiries, securities customer arbitrations and civil litigation.  Mr. Tuttle joined Debevoise in 1995.  He received his B.A., with honors, from the College of William & Mary in Virginia in 1989, where he majored in English and Economics.  He received his J.D. cum laude from Harvard Law School in 1992.  Mr. Tuttle is admitted to practice in Washington, D.C., Virginia and the United States District Courts for the District of Columbia and the Eastern District of Virginia.
