Matthew Pincus is a counsel in the firm’s Tax Department, focusing on the tax aspects of private investment funds and secondary transactions.Mr. Pincus advises private investment fund sponsors on U.S. tax issues relating to the formation of funds pursuing diverse investment strategies, as well as providing advice concerning carried interest and co-investment arrangements. Mr. Pincus also regularly represents funds of funds and other clients investing in private equity or other alternative asset funds. Mr. Pincus has deep experience advising on the tax aspects of fund secondary transactions, including portfolio sales, GP-led transactions, fund restructurings and preferred equity financings, and has worked on some of the largest and most complex transactions in Europe and the United States.Mr. Pincus also represents clients in relation to the tax aspects of mergers and acquisitions, securities offerings, and financing transactions. He is recommended by The Legal 500 UK (2026).Mr. Pincus joined the firm originally in 2011, before re-joining the firm in 2022. Mr. Pincus received a J.D. from the Columbia University School of Law, where he was a Hamilton Fellow and a James Kent Scholar. He received a Ph.D. from the University of California at Berkeley and a B.A. magna cum laude from Columbia University.
