Debevoise & Plimpton LLP is advising TruGreen Holdings Inc. and Clayton Dubilier & Rice (CD&R), its majority shareholder, in TruGreen’s merger with Scotts LawnService, owned by Scotts MiracleGro, to create North America’s premier lawn care company.
The combined company, which plans to operate under the TruGreen brand, will continue to be a privately-held company controlled by funds managed by CD&R. John Compton, a CD&R Operating Partner and former PepsiCo President, will continue to serve as TruGreen’s Chairman. Scotts MiracleGro will also have a significant minority equity stake in the new entity.
Following the merger, TruGreen’s local network of branches and franchise locations will serve approximately 2.4 million residential and commercial customers across the U.S. and Canada with lawn, tree and shrub care, representing approximately $1.4 billion in revenue.
