Debevoise Advises Clayton, Dubilier & Rice on $2.4 Billion Take Private of Ply Gem Holdings and Purchase of Privately-Held Atrium Windows & Doors

Debevoise & Plimpton LLP is advising Clayton, Dubilier & Rice on the acquisition of two leading building products companies, Ply Gem Holdings, Inc. and Atrium Windows & Doors. The acquisition of NYSE-listed Ply Gem is a go-private transaction valued at approximately $2.4 billion. The parallel purchase of Atrium Windows & Doors, a privately held company controlled by Golden Gate Capital, and merger of Atrium with Ply Gem will result in an exterior building products company with total revenue of more than $2.4 billion in 2017. CD&R funds will own approximately 70% and Golden Gate funds will own approximately 30% of the combined company.
