Debevoise Advises Ply Gem and Clayton, Dubilier & Rice on Ply Gem’s $5.5 Billion Combination with NCI Building Systems

Debevoise & Plimpton LLP is advising Ply Gem Holdings, Inc. and Clayton, Dubilier & Rice on Ply Gem’s $5.5 billion stock-for-stock combination with NCI Building Systems, a leading manufacturer of exterior building products for commercial construction. Debevoise is also advising on the financing aspects of this transaction. The transaction is expected to close in the fourth quarter of 2018.

Ply Gem manufactures and sells a variety of products focused on the exterior envelope of single and multi-family homes. Founded in 1978, Clayton, Dubilier & Rice is a private investment firm. Since inception, CD&R has managed the investment of $26 billion in more than 80 companies with an aggregate transaction value of more than $100 billion.
