Debevoise Advises Kelso and Its Portfolio Company BradyIFS in Its Merger with Envoy Solutions and Strategic Partnership with Warburg Pincus

Debevoise & Plimpton LLP is advising Kelso & Company and its portfolio company, BradyIFS, in the merger of BradyIFS and Envoy Solutions, which includes a new strategic and financial partnership with Warburg Pincus LLC and its affiliate funds. BradyIFS is a leading foodservice and JanSan platform in North America. Envoy Solutions is a distributor of JanSan products, foodservice disposables, and industrial packaging solutions and a subsidiary of Fomento Económico Mexicano, S.A.B. de C.V. (“FEMSA”). FEMSA will maintain a significant minority share in the combined business after the merger.
